  17. Definitions
  18.     1. "Maxwell's Smart" means Maxwell Smart Computer Service, 
  19.                  701 w Lynn Creek Arlington TX 76017.
  20.     2. "Software" collectively means all the software you have 
  21.                  received from Maxwell Smart.      
  22.  
  23.     This file contains important license information regarding the
  24.     use of KATY'S ABC'S for Windows, Version 1.0.  This information 
  25.     applies to individual users who wish to pass copies out to 
  26.     friends and associates.
  27.  
  28.     User Groups, Computer Clubs, Disk Vendors and Distributors,
  29.     Subscription Services, Disk-of-the-Month Clubs, etc., should
  30.     refer to the VENDOR.DOC file for complete information relating to
  31.     them.

  33.     PLEASE!  Show your support for Shareware by registering the
  34.     programs you actually use.  Maxwell's Smart depends upon and

  41.     is Copyright (c) 1994 by Maxwell's Smart Computer Service.

  44.     This software and accompanying documentation are protected by
  45.     United States Copyright law and also by International Treaty
  46.     provisions.  Any use of this software in violation of Copyright
  47.     law or the terms of this limited license will be prosecuted to
  48.     the best of our ability.  The conditions under which you may copy
  49.     this software and documentation are clearly outlined below under
  50.     "Distribution Restrictions".

  52.     Maxwell's Smart hereby grants you a limited license to use this
  53.     software for evaluation purposes for a period not to exceed thirty
  54.     (30) days.  If you intend to continue using this software (and/or
  55.     it's documentation) after the thirty (30) day evaluation period,
  56.     you MUST make a registration payment to Maxwell's Smart.

  59.     Using this software after the thirty (30) day evaluation period,
  60.     without registering the software is a violation of the terms of
  61.     this limited license.

  63.     Licensee shall not use, copy, rent, lease, sell, modify,
  64.     decompile, disassemble, otherwise reverse engineer, or transfer
  65.     the licensed program except as provided in this agreement.  Any
  66.     such unauthorized use shall result in immediate and automatic
  67.     termination of this license.

  69.     All rights not expressly granted here are reserved to Maxwell's
  70.     Smart Computer Service.

  73.     Limited Distribution License:

  75.     As the copyright holder for KATY'S ABC'S for Windows,
  76.     Maxwell's Smart authorizes distribution by individuals only in
  77.     accordance with the following restrictions.

  79.        (User Groups, Computer Clubs, Disk Vendors and Distributors,
  80.        Subscription Services, Disk-of-the-Month Clubs, etc., should
  81.        refer to the VENDOR.TXT file for complete information relating
  82.        to them.)

  84.     Individuals are hereby granted permission by Maxwell's Smart to
  85.     copy the KATY'S ABC'S for Windows diskette for their own use
  86.     (for evaluation purposes) or for other individuals to evaluate,
  87.     ONLY when the following conditions are met.

  89.     The KATY'S ABC'S for Windows package is defined as containing
  90.     all the material listed in the PACKING.LST text file.  If any
  91.     files listed in the PACKING.LST text file, or the PACKING.LST
  92.     file itself, are missing, then the package is not complete and
  93.     distribution is forbidden.  Please contact us to obtain a
  94.     complete package suitable for distribution.

  96.         o   The KATY'S ABC'S for Windows package - including all
  97.         related program files and documentation files - CANNOT
  98.         be modified in any way and must be distributed as a
  99.         complete package, without exception.  The PACKING.LST
  100.         text file contains a list of all files that are part of
  101.         the KATY'S ABC'S for Windows package.
  102.  
  103.         o   No price or other compensation may be charged for the
  104.         KATY'S ABC'S for Windows package.  A distribution
  105.         cost may be charged for the cost of the diskette,
  106.         shipping and handling, as long as the total (per disk)
  107.         does not exceed US$8.00 in the U.S. and Canada, or 
  108.         US$8.00 internationally.
  109.  
  110.         o   The KATY'S ABC'S for Windows package CANNOT be sold
  111.         as part of some other inclusive package.  Nor can it be
  112.         included in any commercial software packaging offer,
  113.         without a written agreement from Maxwell's Smart.
  114.  
  115.         o   The PRINTED User's Guide may not be reproduced in whole
  116.         or in part, using any means, without the written
  117.         permission of Maxwell's Smart.  In other words, the
  118.         disk-based documentation may not be distributed in
  119.         PRINTED (hardcopy) form.
  120.  
  121.         o   The KATY'S ABC'S for Windows package cannot be
  122.         "rented" or "leased" to others.
  123.  
  124.         o   Licensee shall not use, copy, rent, lease, sell,
  125.         modify, decompile, disassemble, otherwise reverse
  126.         engineer, or transfer the licensed program except as
  127.         provided in this agreement.  Any such unauthorized use
  128.         shall result in immediate and automatic termination of
  129.         this license. 
  130.  
  131.         o   NO WARRANTY.  ANY USE BY YOU OF THE SOFTWARE IS AT YOUR
  132.         OWN RISK.  THE SOFTWARE IS PROVIDED FOR USE ONLY WITH 
  133.         MICROSOFT WINDOWS 3.XX AND RELATED SOFTWARE.  THE 
  134.         SOFTWARE IS PROVIDED FOR USE "AS IS" WITHOUT WARRANTY 
  135.         OF ANY KIND.  TO THE MAXIMUM EXTENT PERMITTED BY LAW, 
  136.         MAXWELL'S SMART AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES 
  137.         OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, 
  138.         WITHOUT LIMITATION, IMPLIED WARRANTIES OF 
  139.         MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. 
  140.         MAXWELL'S SMART IS NOT OBLIGATED TO PROVIDE ANY UPDATES TO 
  141.         THE SOFTWARE.
  142.  
  143.         o   NO LIABILITY FOR CONSEQUENTIAL DAMAGES.  
  144.         In no event shall Maxwell's Smart or its suppliers be 
  145.         liable for any damages whatsoever (including, without 
  146.         limitation, incidental, direct, indirect special and 
  147.         consequential damages, damages for loss of business 
  148.         profits, business interruption, loss of business 
  149.         information, or other pecuniary loss) arising out 
  150.         of the use or inability to use this Maxwell's Smart 
  151.         product, even if Maxwell's Smart has been advised of the 
  152.         possibility of such damages.  Because some states/
  153.         countries do not allow the exclusion or limitation 
  154.         of liability for consequential or incidental damages,
  155.         the above limitation may not apply to you.
  156.  
  157.         o   INDEMNIFICATION BY YOU.  If you distribute the 
  158.         Software in violation of this Agreement, you agree 
  159.         to indemnify, hold harmless and defend Maxwell's Smart and 
  160.         its suppliers from and against any claims or lawsuits, 
  161.         including attorney's fees that arise or result from 
  162.         the use or distribution of the Software in violation 
  163.         of this Agreement.
  164.  
  165.         o   U.S. Government Information:  Use, duplication, or
  166.         disclosure by the U.S. Government of the computer
  167.         software and documentation in this package shall be
  168.         subject to the restricted rights applicable to
  169.         commercial computer software as set forth in
  170.         subdivision (b)(3)(ii) of the Rights in Technical Data
  171.         and Computer Software clause at 252.227-7013 (DFARS
  172.         52.227-7013).

  175.     Maxwell's Smart Computer Service .
